试论我国竞业禁止制度

摘要
竞业禁止制是当代一种重要的制度,对于限制公司高管的行为,维护公司的利益,保持社会经济秩序,平衡公司、社会和劳动者三方利益有着举足轻重的作用。本文首先对竞业禁止制度的含义、适用的主体范围及违反竞业禁止制度的情形进行介绍,接着分析了我国竞业禁止制度在法律规制方面存在的不足,并针对不足之处提出完善法定竞业禁止义务的规定等建议。
The non-competition system is an important system in the contemporary era. It plays an important role in restricting the behavior of company executives, safeguarding the company's interests, maintaining social and economic order, and balancing the interests of the company, society and laborers. This paper first introduces the meaning of the non-competition system, the scope of the applicable subject, and the violation of the non-competition system. Then it analyzes the shortcomings of the non-competition system in China, and proposes a perfect statutory competition for the inadequacies. Suggestions such as the prohibition of the obligation of the industry.
