完善中国特色现代国有企业法人治理结构问题研究

摘要
中国在现代国有企业法人治理结构方面取得了三个方面的成绩:企业党组织与现代公司治理结构有机融合、党的民主集中制原则与现代公司治理要求有机融合、党管干部原则与董事会选聘经理人员有机融合。但是,仍旧面临法规与制度安排未定型的体制困境和制度与规则运作尚未完善的治理困境。须在深入理解中国特色现代国有企业制度的基础上,夯实将党组织纳入公司法人治理结构的法律基础,健全两会一层分工协作分权制衡的运作机制,形成党建优势融入现代公司治理的工作格局。
China has made three remarkable achievements in the corporate governance of modern state owned enterprises:Organic integration of corporate governance structure and modern corporate governance,The principle of democratic centralism and the modern corporate governance requirements of the organic integration of the party,The principle of the party managing cadres and the board hiring managers of organic integration,but still faced with regulations and institutional arrangements of the system is not finalized the plight of the system and the operation of the rules and regulations are not yet perfect Governance Dilemma.For this,On the basis of deep understanding of the modern state owned enterprise system with Chinese characteristics,the government need consohdate the legal basis for the party organizations to integrate into the corporate governance structure,perfect the operation mechanism of the division of labor and coordination of the two sessions,form the advantage of Party building into the work pattern of modern corporate governance.
